Following a new law at the end of last week, the signature specimen and the trader’s signature will be able to be replaced by the power of attorney. In addition, the criminal record and the civil status documents can also be obtained by lawyers!
At the end of last week, a new Law was published that brings changes to the documents that must be submitted to the Trade Register on the date of registration, but also later during the operation of the company.
Thus, the signature of the individual trader or of the representative of the family association can be replaced by the power of attorney containing the client’s signature given in front of the lawyer.
These provisions also apply to the signature specimen that until now had to be given in front of the public notary.
The companies registered before July 21st, 2019 must submit to the Trade Register a Declaration regarding the real beneficiary. The lack of its submission entails the sanctioning with a fine ranging from 5,000 to 10,000 lei, as well as the dissolution of the company in the event that, within 30 days from the date of the contravention sanction, the declaration is not submitted. The submission deadline originally expired in July 2020, but was extended due to the Covid-19 pandemic until November 1st, 2020.
If until now the Declaration regarding the real beneficiary had to be given in front of the representative of the Trade Register or the public notary, from now on it will be able to be attested by the lawyer.
Under the new Law, the criminal record as well as the civil status documents (birth, marriage or death certificate) can also be obtained by lawyers based on the power of attorney.
